Terms & Conditions

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "you") and InstaGoods Technologies Pvt. Ltd. ("InstaGoods", "we", "us", "our") governing your access to and use of the InstaGoods mobile application and related services.

By creating an account or using any part of the Service, you confirm that:

• You are at least 18 years of age
• You have the authority to enter into this agreement on behalf of yourself or your business
• You have read, understood, and agree to be bound by these Terms

InstaGoods provides a mobile-first business management platform that includes, but is not limited to:

• Product and inventory management tools
• Order creation, tracking, and fulfillment features
• GST-compliant invoice and bill generation
• Customer relationship management (CRM)
• Sales analytics and business reporting
• Cloud backup and multi-device synchronization

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

To access InstaGoods, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Keep your account credentials confidential and secure
• Be solely responsible for all activities that occur under your account
• Notify us immediately at support@instagoods.in of any unauthorized access
• Not share your account or credentials with any third party

InstaGoods is licensed to you for legitimate business purposes only. You may use the App to:

• Manage your own business's products, orders, invoices, and customer records
• Generate GST bills and financial reports for your registered business
• Share invoices and reports with your customers, accountants, or business partners
• Train your authorized employees and staff to use the App for business operations

This license is non-exclusive, non-transferable, and revocable.

You must not use InstaGoods to engage in any of the following activities:

• Generate false, fraudulent, or misleading invoices or financial records
• Violate any applicable GST, tax, or commercial law in India or any other jurisdiction
• Reverse engineer, decompile, or attempt to extract the source code of the App
• Use automated tools, bots, or scripts to access or scrape the Service
• Upload malicious code, viruses, or any harmful software
• Resell, sublicense, or rent access to the App to third parties
• Impersonate any person, business, or entity
• Engage in money laundering, fraudulent invoicing, or any illegal financial activity
• Interfere with the security, integrity, or performance of the Service

Violation of these prohibitions may result in immediate account suspension and legal action.

InstaGoods IP: The App, its design, code, features, trademarks, logos, and all associated content are the exclusive intellectual property of InstaGoods Technologies Pvt. Ltd., protected under applicable copyright and trademark laws.

Your Content: You retain full ownership of all data you enter into the App (product details, orders, customer information, invoices). By using InstaGoods, you grant us a limited, non-exclusive license to store, process, and display your content solely for the purpose of providing the Service.

Free Plan: InstaGoods offers a free tier with limited features. No credit card is required to get started.

Paid Plans: Premium features are available through monthly or annual subscription plans. By subscribing, you agree to:

• Pay all applicable fees as described on the pricing page at the time of purchase
• Automatic renewal of subscriptions unless cancelled before the renewal date
• Applicable GST on all subscription charges as required by Indian law

Refund Policy: Subscription fees are non-refundable unless otherwise required by law. In cases of billing errors, contact us within 14 days of the charge at billing@instagoods.in.

Plan Cancellation: You may cancel your subscription at any time. Access to premium features will continue until the end of the current billing period.

Your use of InstaGoods is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you consent to the data practices described in the Privacy Policy.

Key points:

• We do not sell your personal data to third parties
• Your business data is encrypted and stored securely
• You can request data export or deletion at any time

InstaGoods is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

• The Service will be uninterrupted, error-free, or completely secure at all times
• Any specific feature will remain available indefinitely
• The App will meet all of your specific business requirements
• All data entered will be retained indefinitely without loss

We strongly recommend maintaining your own business records and backups independent of InstaGoods.

To the maximum extent permitted by applicable law, InstaGoods Technologies Pvt. Ltd., its directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, or consequential damages
• Loss of business, revenue, profits, data, or goodwill
• Damages arising from your inability to access or use the Service
• Unauthorized access to or alteration of your data by third parties

Our total cumulative liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the total amount paid by you to InstaGoods in the twelve (12) months preceding the claim.

By You: You may terminate your account at any time through the App settings or by contacting support@instagoods.in.

By InstaGoods: We may suspend or terminate your account, with or without notice, if:

• You violate any provision of these Terms
• We receive credible reports of illegal activity or fraud associated with your account
• Your account remains inactive for more than 12 consecutive months
• Required to do so by law or court order

Effect of Termination: Upon termination, your right to use the Service immediately ceases. You may request an export of your business data within 30 days of account closure. After this period, your data may be permanently deleted.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Dispute Resolution: In the event of any dispute:

1. Both parties agree to first attempt resolution through good-faith negotiation for a period of 30 days
2. If unresolved, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996
3. Arbitration shall be conducted in English, in Bengaluru, Karnataka, India
4. Each party shall bear its own costs unless the arbitrator determines otherwise

You agree that any claim must be brought in your individual capacity and not as a class action.

We may update these Terms at any time to reflect changes in our Service, applicable laws, or business practices. When we do:

• The "Last updated" date at the top of this page will be revised
• You will receive an in-app notification for material changes
• For significant changes, you may be required to re-accept the Terms before continuing to use the Service

Your continued use of InstaGoods after the effective date of updated Terms constitutes your acceptance of those changes.
